LICENSE AGREEMENT

Please read this entire agreement. If you do not agree to the
terms of this agreement promptly return your distribution
materials to the place you obtained them for a full refund or
delete your trial package.

ALT-N TECHNOLOGIES END-USER LICENSE AGREEMENT

This End-User License Agreement ("EULA") is a legal agreement
between you ("Customer" or "Sub Licensee") and Alt-N Technologies
("Licensee") for the Alt-N software product(s) you are installing
which include(s) computer software, "online" or electronic
documentation, and may include associated media and printed
materials ("SOFTWARE PRODUCT" or "SOFTWARE").

By installing, copying, or otherwise using the SOFTWARE PRODUCT,
you agree to be bound by the terms of this EULA. If you do not
agree to the terms of this EULA, promptly return the entire
unused SOFTWARE PRODUCT, including all subscription UPDATES that
you may have received as part of the SOFTWARE PRODUCT, to the
place from which you obtained it for a full refund and/or delete
all files related to your trial demonstration version of the
SOFTWARE PRODUCT.

The SOFTWARE PRODUCT is assumed to be delivered and used at the
address entered online when the SOFTWARE PRODUCT is ordered.

ALT-N TECHNOLOGIES SOFTWARE LICENSE

This SOFTWARE PRODUCT is protected by copyright laws and
international copyright treaties, as well as other intellectual
property laws and treaties. The SOFTWARE PRODUCT is licensed,
not sold. The SOFTWARE PRODUCT consists of product
documentation, a server application, and support files
individually identified as "COMPONENT" and collectively referred
to herein as "SOFTWARE".

GRANT OF LICENSE

Alt-N Technologies grants to you as an individual, a personal,
non-exclusive, non-transferable license to install and execute a
single instance of the SOFTWARE on a single computer. After a
one time evaluation period of no more than 30 days the SOFTWARE
PRODUCT must be registered and activated with Alt-N Technologies.
Instructions on how to register and activate can be found in the
product documentation and/or the Alt-N Technologies web site at
http://www.altn.com. Failure to acquire a legitimate
registration key and activate it or failure to keep registration
and activation keys a secret constitutes a breach of this EULA.
If you are an entity Alt-N Technologies grants you the right to
appoint an individual within your organization to use and
administer the SOFTWARE subject to the same restrictions enforced
on individual users. Any act designed to circumvent the
SOFTWARE's limitation of one 30 day trial or activation grace
period shall constitute a breach of this EULA.

Use of beta or other versions of the SOFTWARE not intended for
release to the public at large is strictly limited to authorized
members of the Alt-N software testing community.

Use of the SOFTWARE for commercial profit, for example, selling
services provided by the SOFTWARE to others, is prohibited by
this license. Such use requires a commercial license. Please

The SOFTWARE may not be used as a transport for the dissemination
of Bulk Unsolicited Commercial E-mail (commonly referred to as
"spam"). For the purposes of this section, Bulk Unsolicited
Commercial E-mail shall be taken to mean e-mail containing
advertisements for products or services, which is sent to lists
of more than 50 addresses where the addressees have not
explicitly expressed interest in receiving such e-mail.

You may not reverse-engineer, decompile, or disassemble the
SOFTWARE PRODUCT, except and only to the extent that such
activity is expressly permitted by applicable law,
notwithstanding this limitation.

No part of this SOFTWARE PRODUCT may be used without licensing
the entire SOFTWARE PRODUCT according to the terms of this EULA.
In particular, this SOFTWARE PRODUCT may include an antispam
daemon called SGSpamD. SGSpamD may only be used to process spam
sent to it from one or more of your licensed installations of
SecurityGateway.

THE SOFTWARE MAY INCLUDE PRODUCT ACTIVATION AND OTHER TECHNOLOGY
DESIGNED TO PREVENT UNAUTHORIZED USE AND COPYING, AND TECHNOLOGY
TO HELP YOU MANAGE LICENSES. SUCH TECHNOLOGY MAY PREVENT YOUR USE
OF THE SOFTWARE IF YOU DO NOT FOLLOW THE ACTIVATION, INSTALLATION,
AND/OR LICENSE MANAGEMENT PROCESS DESCRIBED IN THE SOFTWARE AND
DOCUMENTATION.

Alt-N Technologies shall have the right to periodically verify
that the terms of this EULA are not being breached.

COPYRIGHT

All title and copyrights in and to the SOFTWARE PRODUCT are owned
by Alt-N Technologies, its suppliers, or component vendors. The
SOFTWARE PRODUCT is protected by copyright laws and international
treaty provisions. Therefore, you must treat the SOFTWARE PRODUCT
like any other copyrighted material except that you may either
(a) make one copy of the SOFTWARE PRODUCT solely for backup or
archival purposes, or (b) install the SOFTWARE PRODUCT on a
single computer provided you keep the original solely for backup
or archival purposes. You may not copy the printed materials
accompanying the SOFTWARE PRODUCT.

THIRD PARTY COMPONENT LICENSING TERMS

Third party utilities, application programs, and/or components
designed to integrate with the SOFTWARE PRODUCT are subject to
the license terms governing those products.

JURISDICTION

This Agreement shall be governed by the laws of the State of
Texas. For the purpose of resolving conflicts related to or
arising out of this Agreement, the parties expressly agree that
venue shall be in the State of Texas only, and, in addition, the
parties hereby expressly consent to the exclusive jurisdiction of
the federal and state courts in the State of Texas.

DISCLAIMER OF WARRANTY

NO WARRANTIES. THE SOFTWARE PRODUCT IS PROVIDED "AS IS" WITHOUT
WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, ALT-N TECHNOLOGIES DISCLAIMS ALL WARRANTIES,
EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED
WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR
PURPOSE AND ANY WARRANTY AGAINST INFRINGEMENT, WITH REGARD TO THE
SOFTWARE PRODUCT. IN ADDITION, LICENSEE DOES NOT WARRANT THAT
THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE SOFTWARE
WILL RUN UNINTERRUPTED OR BE ERROR-FREE, OR THAT DEFECTS IN THE
SOFTWARE WILL BE CORRECTED. THIS LIMITED WARRANTY GIVES YOU
SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS WHICH VARY FROM STATE
TO STATE.

CUSTOMER REMEDIES

ALT-N TECHNOLOGIES ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY
SHALL NOT EXCEED THE PRICE PAID FOR THE SOFTWARE. UNDER NO
CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL LICENSEE OR LICENSEE?S
LICENSOR(S) BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR
CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS LICENSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT
SHALL ALT-N TECHNOLOGIES BE LIABLE FOR ANY DIRECT, INDIRECT,
INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES
WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF
BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS
INFORMATION, OR ANY OTHER PECUNIARY LOSS) HOWEVER CAUSED AND ON
ANY THEORY OF LIABILITY (INCLUDING NEGLIGENCE OR OTHER TORT)
ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE
PRODUCT, EVEN IF ALT-N TECHNOLOGIES HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME STATES DO NOT ALLOW
THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR
INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

MISCELLANEOUS

If a court of competent jurisdiction finds any provision of this
License invalid or unenforceable, that provision will be amended
to achieve as nearly as possible the same economic effect as the
original provision and the remainder of this License will remain
in full force. Failure of a party to enforce any provision of
this License shall not waive such provision or of the right to
enforce such provision. This License sets forth the entire
agreement between the parties with respect to your use of the
SOFTWARE and supersedes all prior or contemporaneous
representations or understandings regarding such subject matter.
No modification or amendment of this License will be binding
unless in writing and signed by an authorized representative of
LICENSEE. You will not export, reexport, divert, transfer or
disclose, directly or indirectly, the SOFTWARE or any technical
information and materials supplied under this Agreement without
complying strictly with the export control laws and all legal
requirements in the relevant jurisdiction.
